Starting a software company — how does choosing a NACE code affect partnership and invoicing?

a friend and I are in the process of setting up a limited liability company with a capital of 150.000 TL... our core business will be developing mobile apps and web-based SaaS solutions for private businesses; however to stabilize our cash flow in the first 1-2 years, we also plan to offer auxiliary services like tech consulting, UI design, and system integration. i mean down the road our goal is to apply for KOSGEB R&D grants and get into a technopark.

our CPA recommended code 62.01 (Computer programming activities) as our primary business code. however were hesitant about whether this singel code will fall short when invoicing for secondary services or during technopark applications then does the choice of NACE code directly restrict our partnership structure, taxation or invoice descriptions? anyway can multiple NACE codes be registered during company formation, and will picking the wrong code cause headaches later on?

Short answer: A single primary NACE code is set during company formation, but you can register multiple secondary NACE codes with the trade registry to match your articles of association. Code 62.01 is the most standard and advantageous primary code for software companies; on its own, it won't stop you from issuing consulting or design invoices, but for technopark admissions and public incentives, your primary code must match the actual activity completely.

Here are the critical points to keep in mind during the formation process: 1) Register your primary code as 62.01.01 (Computer programming activities - writing, modifying, testing, and supporting software, including custom software). For your auxiliary activities, have sub-codes like 62.02 (Computer consultancy activities) and 62.09 (Other information technology and computer service activities) added as secondary codes with the tax office and chamber of commerce registry. As long as your company's scope of activity in the articles of association is kept broad, invoicing across these codes does not constitute an irregularity with the tax office. 2) Code selection is vital for incentives and exemptions. For KOSGEB entrepreneurship and R&D grants, TÜBİTAK programs, and technopark management acceptance processes, your application is directly screened based on whether your NACE code appears on the supported sector list. 62.01 is considered a high-priority, eligible code across all these programs. 3) Hazard classification and SGK premium rates are also determined by your NACE code. Group 62 falls under the low-hazard class, so occupational health and safety obligations and premium costs are at the lowest tier. If you accidentally select a code heavily focused on hardware repair or installation, your hazard class could go up, leading to unnecessary expenses.

Here is how the process works: You write the purpose and scope clause broadly when drafting the articles of association. Your primary NACE code is determined at trade registry registration and after the company is formed you can easily have 3-4 different secondary NACE codes added to the system by submitting a petition via the interactive tax office.

Go with 62.01 as recommended by your CPA and add 62.02 alongside it as a secondary code. There's zero issue with writing "Software Consulting Service Fee" in the invoice description line. Besides, 62.01 is already the most reputable code for technoparks.

When we founded the company two years ago, we went with a consulting-heavy code. Last year, when we applied for the KOSGEB advanced entrepreneur grant, our application got rejected because our code wasn't considered software manufacturing. Revising the code to 62.01 and updating it in the trade registry gazette cost us 3 weeks and 4.500 TL.

Do you already have a concrete R&D project ready for the technopark application? Technoparks don't just look at the NACE code; they look at whether the work invoiced by the company is genuine in-house R&D activity and what the licensing revenue looks like.

our main code is 62.01 with design and consulting as secondary codes. been invoicing for all sorts of things for three years now without any issues. the key is having software, design, and consulting explicitly mentioned in your articles of association.

Accountants usually just pick one code and move on because they don't want to bother adding secondary codes. Down the road, when you invoice corporate clients or bid on public tenders, they'll check your activity certificate for the relevant NACE code; so be persistent about getting them added from the start.

Since issuing invoices in an area not specified in your company's articles of association could trigger scrutiny under the Turkish Commercial Code and the Tax Procedure Law, listing all business activities exhaustively during formation will provide legal safeguard.

i was thinking the same thing and i mean when we decide without measuring, we allways end up in the same place.

valuation methods for exits must be defined by formula; "market value" isn't enough then just leaving this note it might be useful.
