Choosing a NACE code for an ad agency — which one is right for invoicing?

Towards the end of this month, my CPA and I started preparing the paperwork to incorporate a limited company. I've set aside 100,000 TL in cash as capital, and our core business model will focus on digital ad management social media content creation and web UI design.

However, we will also invoice some enterprise clients purely for strategy consulting or data analytics services. My accountant suggested code 73.11.01 for ad agency activities, but mentioned we should also add 70.22.02 for the consulting side. Does selecting multiple NACE codes cause any issues with taxation, withholding tax or subsidies?

In practice how does the alignment between the primary/secondary activity codes and the invoice line items actually work? I don't want to run into unnecessary headaches down the road during a tax base increase or an audit.

Short answer: As long as your primary business is advertising, there is no issue at all with selecting 73.11.01 (activities of advertising agencies) as your primary NACE code and adding 70.22.02 as a secondary code for consulting. Companies can operate and issue invoices across multiple fields specified in their articles of association.

In terms of taxation and corporate income tax rates, the NACE code makes no direct difference; both codes are subject to standard commercial profit provisions. However, when issuing an invoice, the subject of the invoice should match your contract and your registered NACE activities. For example, detailing the invoice as "digital marketing consulting" when billing for advisory services, and as "advertising placement and management fee" for ad management ensures full transparency in the eyes of the tax office.

The most critical point you need to watch out for is withholding tax and VAT withholding. When doing ad work for public institutions or certain large corporations, VAT withholding rules may kick in. Additionally, if you plan to apply for KOSGEB or Ministry of Trade grants, your primary NACE code must be on the list of eligible supported sectors.

Follow your accountant's advice: set 73.11.01 as the primary code and add 70.22.02 as the secondary. Once the tax office completes the on-site inspection and sees your office space and business operations, you can easily invoice under both scopes without issues.

When your articles of association are published in the trade registry gazette, make sure both advertising and consulting are explicitly stated under the objectives and scope section. Only your primary NACE code appears on your tax certificate, but the secondary codes remain registered in the tax office's system.

Are you planning to hire employees? Because NACE codes directly affect your SGK occupational risk category. An advertising agency falls under the low-risk category, but certain video production activities can change the occupational safety premium rate. Have you clarified that with your CPA?

congrats on the new company! when we first set up we only registered a single code and later a client gave us trouble on a consulting invoice citing a NACE mismatch... adding a second code later only takes 2 days with a petition to the tax office but getting it right from day one is dfeinitely the cleanest route.

Accountants often have a "let's add everything" mindset, but that can sometimes backfire with KOSGEB. In some grant programs, if consulting ends up taking center stage while your primary code is listed under services, you can get disqualified. Decide on the specific grant you're targeting beforehand.

When my partner and I opened our first agency, we didn't include the consulting code. Six months in, we delivered a strategy report to a public subsidiary, and when we billed them, their accountants held up our payment for 2 weeks because our NACE code didn't cover consulting. We had to register the additional code before we could collect.
